NO PURCHASE NECESSARY TO PARTICIPATE OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

1. Promotion Period: These Official Rules apply to DoorDash Memory Blooms Promotion (“Promotion”). The Promotion begins at 12:00:01 p.m. ET on April 29, 2022 and ends at 11:59:59 p.m. ET on May 4, 2022 (“Promotion Period”). Sponsor’s computer is the official time keeping device for the Promotion.

2. Eligibility: The Promotion is only open to legal residents of the United States and DC who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is older, at the time of entry. Void where prohibited or restricted by law. Not open to employees, representatives, agents, directors and officers and the family members of such excluded individuals (spouses, parents, children/siblings and their respective spouses, and those living in the same household) of DoorDash, Inc. (“Sponsor”), their subsidiaries, affiliates, agents, distributors, retailers, promotion partners, advertising and production agencies, and PROMOSIS, INC. (“Administrator” or “Promosis”). Participation constitutes participant’s full and unconditional agreement to these Official Rules and to Sponsor’s and/or Administrator’s decisions, which are final and binding in all matters related to the Promotion. Earning a gift card or winning a Grand Prize is contingent upon fulfilling all requirements set forth herein. 

3. To Participate and Enter: Visit https://www.thememoryblooms.com any time during the Promotion Period and follow the directions to complete and submit the entry form, including uploading a photo of a mom in your life with flowers (the “Entry”). Limit one (1) submission/entry per person or email address. Entries in excess of this limit will be void and disqualified if discovered by Administrator. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. All Entries become the property of Administrator and none will be acknowledged or returned. Proof of submission will not be deemed to be proof of receipt by Administrator.
   
   In the event of a dispute regarding the identity of any participant, the entry will be deemed made by the person identified as the authorized account holder of the email address associated with the entry (i.e., the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address). Participants consent to the use of their entries and registration information in accordance with DoorDash’s Privacy Policy. All federal, state, and local laws and regulations apply. Entrants agree to the release of their name and email information to Administrator for winner notification purposes and for public winner disclosure, as required by law. 
   
   Photo submission may not contain, as determined by Administrator or Sponsor, in their sole discretion, any content that:
   
   
   • is sexually explicit or suggestive; violent; derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;
   • promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
   • is obscene or offensive; endorses any form of hate or hate group; appears to duplicate any other submitted Entries;
   • defames, misrepresents or contains disparaging remarks about other people or companies;
   • contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission, to the extent permission is necessary; 
   • contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
   • contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission, to the extent permission is necessary;
   • contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; 
   • contains look-alikes of celebrities or other public or private figures, living or dead;
   • communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or
   • violates any law.
   
   

   Entry must be the original work of the participant and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the Entry contains any material or elements that are not owned by the participant, and/or which are subject to the rights of third parties, the participant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor and/or Administrator in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Entry. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any participant at any time. Failure to provide such proof may, if requested, render Entry null and void.

   By submitting an Entry, participant warrants and represents that he/she and any persons appearing or who are identifiable in the Entry consent to the submission and use of the Entry in the Promotion and to its use as otherwise set forth herein. All submitted Entries are subject to review and approval for content. Submitted photos become the property of Sponsor, and will not be returned. Sponsor reserves the irrevocable, worldwide right to publish any submitted photos in any and all media. 

4. Gift Card Giveaway and Sweepstakes Drawing: The first one hundred (100) participants who submit an eligible entry/photo during the Promotion Period will receive a $40 DoorDash gift card code, subject to DoorDash’s gift card terms and conditions, via email. Limit one (1) $40 gift card per person.
   
   One (1) Grand Prize: one (1) $1,000 DoorDash gift card, subject to DoorDash’s gift card terms and conditions. Retail value of Grand Prize = $1,000. Limit one (1) Grand Prize. Potential Grand Prize winner will be a participant selected via random drawing from among all eligible entries received by the deadline. Drawing will be conducted on or around May 9, 2022 by Promosis, an independent judging organization whose decisions will be final and binding in all matters relating to this Promotion.
   
   Potential Grand Prize winner will be notified via email from Promosis, and will be required to complete a secure online winner verification within three (3) days of the date of the notification, or prize will be forfeited. Any potential winner who fails to complete the winner verification or is found to be ineligible will be disqualified, and an alternate winner will be randomly selected from the remaining pool of participants received for the original drawing. A selected potential winner will not be an official winner until eligibility has been formally verified by Administrator. Sponsor and Administrator are not responsible for fraudulent communications made to participants or potential winners.
   
   Grand Prize winner is solely responsible for all applicable taxes on the value of the prize, and will be issued an IRS 1099-MISC tax form for the value of the prize to the extent required by law. Prizes may not be transferred, assigned, or redeemed for cash, in whole or in part. No substitution for prizes, except by Sponsor as may be necessary due to unavailability. If originally-offered prize is unavailable at the time of award, Sponsor may substitute an item of comparable or additional value. Sponsor will not replace a lost or stolen prize. No more than the stated number of prizes will be awarded. By accepting a prize, winner agrees to grant to the Sponsor and its promotion partners the right without limitation to use the winner’s name, picture, portrait or likeness, and voice in any future promotional material in any and all media, now known or hereafter devised, without further compensation, where permitted, and that such use can be made without prior inspection or approval of the use of any copy used in connection with it. Odds of winning the Grand Prize are dependent upon the number of eligible entries received. 

5. Limitationof Liability: Sponsor, Administrator, and their promotion partners and affiliates are not responsible for typographical errors in any Promotion-related materials; for lost, late, misdirected, or incomplete orders/entries or email; for technical, hardware, software, Internet, or telephone failures of any kind; for lost or unavailable network connections; for viruses; for failed, incomplete, garbled, or delayed computer transmissions that may limit or interfere with a participant’s ability to take part in the Promotion; or for non-delivery of any gift card or prize due to factors beyond Sponsor’s control, including lost, late, or misdirected deliveries or any delay or suspension of service that may affect prize delivery. Entries generated by script, macro, or other automated entry devices are not valid and will be disqualified. Sponsor reserves the right to disqualify and seek prosecution of any participant who disrupts or interferes with the proper play of the Promotion, or acts in violation of these Official Rules in any way. Sponsor reserves the right to cancel or modify Promotion if fraud or technical failure compromises the integrity of the Promotion, or corrupts or impairs the administration, security, fairness, or proper play of the Promotion, or if the Promotion is not capable of running as planned for any reason, as determined by Sponsor in its sole discretion. If Promotion is canceled for any reason, including but not limited to those stated above, winner will be determined via random drawing from among all eligible entries received up to the time of cancellation. By participating in this Promotion, each participant releases and holds harmless and agrees to indemnify Sponsor, Administrator, and their respective parent companies, subsidiaries, affiliates, promotion partners, advertising agencies, public relations agencies, and each of their respective officers, directors, agents, representatives, and employees in connection with this Promotion and hold them harmless from and against any and all costs, claims, damages, (including, without limitation, any special, incidental or consequential damages), or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Promotion, or acceptance of or use or misuse of a gift card or prize or parts thereof. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

6. Dispute Resolution: THIS PROMOTION IS GOVERNED BY THE LAWS OF THE COMMONWEALTH OF MASSACHUSETTS, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Promotion, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Massachusetts having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participants' actual out-of-pocket expenses (i.e. costs associated with entering this Promotion), and participant further waives all rights to have damages multiplied or increased.

7. Winners List:For the name of the Grand Prize winner, available until August 4, 2022, send a standard-size postcard, only, with your name and address to: DoorDash Memory Blooms Promotion Winners List, P.O. Box 38, Marblehead, MA 01945. Do not send any other correspondence to this address.
